Note on Kuwaiti data: Kuwaiti companies traditionally require a 51% Kuwaiti shareholder for operations outside the KDIPA framework. Where a foreign buyer is dealing with what appears to be a wholly foreign-managed company, our reports confirm the actual ownership and licensing basis on which the company operates.

Why verify a Kuwaiti company?

Kuwait's corporate environment is structured around three main vehicles: the WLL (limited liability company), the KSC (shareholding company, closed or public), and the foreign branch. For overseas counterparties the practical questions are usually: which legal form is the contracting party, who controls it in practice, and is there a Kuwaiti national involved as sponsor or shareholder. The answers are not always evident from the company's marketing materials, and verifying them through the Commercial Register and direct enquiry is straightforward but essential.

Sponsorship and agency relationships are a particular feature of the Kuwait market. The Commercial Agencies Law gives registered local agents significant statutory rights, and an overseas company appointing a Kuwaiti distributor commits to a relationship that is hard to terminate without significant exposure.
