Note on Thai data: Thailand requires every limited company to file annual audited accounts with the DBD, and those filings are publicly accessible, making Thailand one of the more transparent jurisdictions in Southeast Asia. The Foreign Business Act restricts certain activities to majority-Thai-owned companies, which creates structural nuance for foreign-invested businesses. Why verify a Thai company?

Thailand is the second-largest economy in Southeast Asia and a regional manufacturing centre, particularly in automotive (the "Detroit of Asia"), electronics, agri-food processing, petrochemicals, jewellery and rubber. The Department of Business Development (DBD) of the Ministry of Commerce maintains a comprehensive public register of every limited company, every limited partnership and every registered branch, and requires annual audited financial statements from every Thai Co. Ltd. For structural and financial verification of Thai counterparties, DBD data is reliable and substantial.

The verification challenge specific to Thailand is the Foreign Business Act regime. Under the Act, foreign-owned companies (more than 49% non-Thai ownership) are restricted from certain business activities unless they hold a Foreign Business Licence or operate under one of the exemption regimes (BOI promotion, US–Thai Treaty of Amity, IEAT industrial estate, etc.). The result is widespread use of complex shareholding structures involving Thai nominee shareholders, preferential share arrangements, and treaty-based exemptions. Identifying who actually controls a Thai company, and on what legal basis, is often the first job of a due diligence report.

A related point is binding-signature structure. Thai Co. Ltd's typically declare specific director-signature combinations required to bind the company: for example, "two directors with company seal" or "the managing director signing alone up to a stated threshold". This is filed with the DBD and is publicly visible. A counterparty signing a contract without authority under the registered binding combination may create enforceability problems later, particularly if a dispute arises.
