Note on Singapore data: not all private companies are required to file full financial statements: small exempt private companies (EPCs) can file an exemption declaration in place of accounts. Where this applies, our agents can ask the company directly for financial information, which it may consent to provide or may decline. The registrable controllers (UBO) register sits with ACRA but is only accessible to authorities and the company; we can show what is publicly disclosed.

Why verify a Singaporean company?

Singapore is the regional contracting and treasury hub for Southeast Asia, a major commodities trading centre, and one of the most-used jurisdictions in the world for cross-border holding structures. ACRA, the Accounting and Corporate Regulatory Authority, maintains a fully searchable register of every entity, with directors, shareholders, share capital, charges and (for most companies) financial statements all publicly accessible. The data infrastructure is excellent; verification at registry level is fast and definitive.

The real diligence questions in Singapore are usually about substance, not legal existence. The country's combination of low corporate tax, English-language commercial law, sophisticated banking and reliable courts makes it attractive for legitimate regional operations, and equally useful as a flag-of-convenience for trades whose real economic activity sits elsewhere. A Singapore Pte Ltd may be a substantial operating business with hundreds of employees in the CBD; equally, it may be a corporate-secretary-managed entity at a service-provider address with no staff, set up to invoice a related party or hold IP. Both are entirely legal. For a counterparty, the question is which one you are dealing with.

A second consideration is financial disclosure. Companies categorised as small exempt private companies are not required to file full accounts: they can lodge an EPC declaration in place of statements. For these entities, an investigated report can include a request to the company for financial information, which it may consent to provide or may decline. For larger companies and groups, ACRA filings are detailed and current, and provide a strong basis for credit assessment in their own right.

Risk patterns we can identify in Singapore reports include winding-up applications and judicial management filings that pre-date a formal liquidation; significant charges over receivables or assets that affect a new creditor's position; nominee director arrangements that obscure beneficial control; address mismatches between the registered office (often a corporate-secretary address) and the actual operating premises; and recent share-capital reductions or director resignations that signal a change of circumstances. Each is a useful input to a credit, procurement or partnership decision.
